Legal advisory

For families that live in more than one country.

Entity formation, cross-border holdings, succession and residency-adjacent planning — executed by admitted counsel, coordinated so your lawyer at home and your lawyer here are reading the same document.

What it covers

01

Formation and the United States entity layer

Florida LLCs and corporations, holding arrangements, operating agreements and the banking resolutions that actually let a new entity function. Done once, properly, instead of three times because the first version could not open an account.

02

Cross-border holding structures

How the operating company at home, the United States property and the family's personal holdings sit relative to one another — reviewed for how each jurisdiction will treat the arrangement, not only how one will.

03

Succession that is recognised on both sides

A will or a structure that works perfectly in one country and creates a probate problem in the other is a common and expensive outcome. Documents are drafted with both legal traditions in the room.

04

Residency-adjacent planning

Where a family's immigration path and its asset structure interact — investor visas, residency timing, the tax consequences of becoming a United States person — coordinated with immigration counsel rather than guessed at.

05

Contract and counterparty review

Purchase agreements, development contracts, distribution agreements and joint ventures, read in Spanish and English, with the commercial consequence explained and not just the clause.

Questions

Straight answers.

Is Insignia a law firm?
No. Insignia is a family office, not a law firm. Legal work is executed by admitted counsel; Insignia scopes it, coordinates it across jurisdictions and holds the commercial context. Nothing on this site is legal advice.
Do we have to change our lawyers at home?
No. In most mandates the family's existing counsel stays and Insignia adds the United States counterpart, then keeps both reading the same version of the same structure.
Can Insignia handle an investor visa application?
Immigration filings are handled by immigration counsel. What Insignia does is make sure the asset structure and the immigration timeline do not contradict each other — which is where most of the avoidable damage happens.
Do you advise on United States tax?
Tax opinions come from qualified tax counsel or accountants. Insignia's role is to surface the question early, bring the right specialist in, and make sure the answer is reflected in the structure before it is executed.
